This Schedule A is incorporated by reference into the General (Account Holder) Terms; capitalized terms that are not defined in this Schedule A have the same meanings given to them in the General (Account Holder) Terms.
This Schedule A, in accordance with Section 8 of the General (Account Holder) Terms and any applicable provisions in the relevant Tazapay Service Appendices, sets forth the Fees payable to Tazapay with respect to your use of your Tazapay Account and the Tazapay Services.
Notwithstanding the Fees indicated below, Tazapay reserves the right to impose any such other Fees, as may be referred to in the General (Account Holder) Terms and the relevant Tazapay Service Appendices, applicable to your use of your Tazapay Account and the Tazapay Services. You will be notified of any such fees upon making a Transaction, or otherwise in accordance with Section 23 (Notices and Communications) of the General (Account Holder) Terms.
The Parties may also execute, in writing, an addendum to this Agreement including this Schedule A ("Pricing Addendum"), to incorporate any variation to the Fees as indicated below, or the inclusion of such other Fees as agreed by the Parties. Any Pricing Addendum validly adopted by the Parties in connection with the Prior Terms (as defined in Section 1.4 of the General (Account Holder) Terms) shall be incorporated by reference into this Agreement and shall, unless otherwise agreed by the Parties, prevail over the Fees as set forth in this Section 1 of this Schedule A to the extent that they are inconsistent.
In accordance with the General (Account Holder) Terms and the relevant Tazapay Service Appendices, the Account Holder shall bear the cost of any applicable FX with respect to the Fees payable to Tazapay.

Tazapay shall make reasonable efforts to contact you, to the extent permitted by Applicable Laws, when it suspects that you have committed an AUP Violation and/or a breach of this Agreement. In determining whether such a violation has occurred, it shall be at Tazapay's sole discretion to prescribe the documentation that you will be required to furnish. It shall be at Tazapay's sole and reasonable discretion to determine, based on the foregoing, whether you have committed an AUP violation.
If Tazapay gives you notice of any occurrence of any AUP violation, you shall be liable to pay (and Tazapay shall have the right to levy on you) assessment(s) of liquidated damages in accordance with the table below.

You acknowledge, understand, and agree that the table above, and any assessment of liquidated damages in accordance therewith, is a genuine pre-estimate of Tazapay's pecuniary losses arising from reputational damage caused by your AUP violation, and shall be immediately payable to Tazapay upon Tazapay's notice of occurrence of such AUP violation. To avoid doubt, the estimated pecuniary losses arising from reputational damages caused by your AUP violation do not include the Losses listed in paragraphs 2.4.1, 2.4.2 and 2.4.3 below, which remain subject to the provisions of indemnity under Section 17 of the General (Account Holder) Terms.
You acknowledge, understand, and agree that Tazapay's assessments do not operate as a cap on your liability to Tazapay arising out of or in connection with your violation of AUP. You accordingly remain liable to indemnify Tazapay against all other Losses suffered by Tazapay arising out of or in connection with any violation of AUP committed by you pursuant to Section 17 of the General (Account Holder) Terms, including without limitation:
any and all fines, penalties, and/or liquidated damages imposed by any third party (including, without any limitation, any Service Provider or any regulatory authority) on Tazapay arising out of or in connection with any violation of AUP committed by you; and
any and all Losses suffered by Tazapay as a result of any action taken by any Service Provider against Tazapay, based on any violation of AUP committed by you (including, without limitation, any action taken by the Service Provider to (i) suspend, terminate or rescind any contract between the Service Provider and Tazapay, (ii) exercise any right under such contract against Tazapay, or (iii) cease or delay the performance of such contract);
any and all Losses suffered by Tazapay as a result of any action taken by any regulatory authority against Tazapay, based any violation of AUP committed by you (including, without limitation, any action by the regulatory authority to suspend, terminate or rescind any licence or other approval required by the laws of any jurisdiction to carry out Tazapay's business in that jurisdiction).
